Terms of Service

These Terms of Service ("Terms") govern your access to and use of CodeSewn (the "Store") and any purchase you make from it. The Store is operated by VG Bullet LLC, a Delaware limited liability company ("we", "us", "our"). By using the Store or placing an order, you agree to these Terms. If you do not agree, please do not use the Store.

1. Who we are

CodeSewn is a store operated by VG Bullet LLC, located at 611 South DuPont Highway, Suite 102, Dover, Delaware, 19901, United States. You can reach us at support@codesewn.com.

2. Eligibility

You must be able to form a binding contract to purchase from the Store, and you agree to provide accurate, complete information when ordering.

3. Products and custom items

We sell apparel, including custom team t-shirts co-branded with the CodeSewn mark. Product descriptions, colors, and images are provided as accurately as possible but may vary slightly. Custom and personalized items are produced to your specifications and are treated as final sale except as described in our Return & Refund Policy.

4. Orders, pricing, and payment

All prices are in U.S. dollars and are shown at checkout, where any applicable shipping and tax are calculated. Payments are processed by our payment provider, Stripe; we do not store full card details. We may refuse, limit, or cancel an order (including for suspected fraud, pricing errors, or unavailability), and will refund any amount already charged for a cancelled order. Submitting an order is an offer to purchase that we accept by processing payment and confirming the order.

5. Your artwork and content

If you upload a logo, design, or other content for a custom item, you represent and warrant that you own it or have all rights and permissions needed to use and reproduce it, and that it does not infringe any third party's intellectual-property, privacy, or other rights, and is not unlawful. You grant us a limited license to use, reproduce, and print your content solely to produce and fulfil your order. We may decline to produce content that we believe infringes rights or is otherwise objectionable. You agree to indemnify us against claims arising from content you supply.

6. Shipping and delivery

Shipping options, costs, and delivery estimates are described in our Shipping page and shown at checkout. Delivery estimates are not guaranteed, and risk of loss passes to you on delivery to the carrier, except where law provides otherwise.

7. Returns and refunds

Returns and refunds are governed by our Return & Refund Policy, which forms part of these Terms.

8. Intellectual property

The Store and its content, including the CodeSewn name, logo, text, and design, are owned by us or our licensors and are protected by law. You may not copy, modify, or use them without our permission, except as needed to use the Store normally.

9. Acceptable use

You agree not to misuse the Store, including by attempting to disrupt it, access it without authorization, infringe rights, or use it for unlawful purposes.

10. Disclaimers

The Store is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of liability

To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues. Our total liability for any claim relating to an order will not exceed the amount you paid for that order.

12. Indemnification

You agree to indemnify and hold us harmless from claims, damages, and expenses arising out of your content, your use of the Store, or your breach of these Terms.

13. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. The courts located in Delaware will have jurisdiction over any dispute, unless applicable law provides otherwise.

14. Changes

We may update these Terms from time to time. Changes take effect when posted, and the "last updated" date above will change. Your continued use of the Store means you accept the updated Terms.
